Terms of Use
Effective Date: September 28, 2026
These Terms of Use govern access to and use of the public website operated by Hygia Technologies, Inc. ("Hygia," "we," "us," or "our"), including hygiatech.ai and any successor public website that links to these Terms (the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree to these Terms, do not use the Website.
1. Scope of These Terms
The Website is a public-facing corporate and informational website. These Terms do not, by themselves, govern access to Hygia’s patient application, business portal, Gia conversational services, customer deployments, beta programs, or other authenticated products or services, each of which may be subject to separate agreements, consents, privacy notices, business associate agreements, customer contracts, or product-specific terms. Where separate terms apply, those terms control with respect to the applicable product or service.
2. Informational Purpose; No Medical Advice
Hygia is a healthcare technology company and is not a medical provider. Website content is provided for general informational, educational, business, and marketing purposes. Nothing on the Website constitutes medical advice, diagnosis, treatment, prescribing, clinical judgment, or a recommendation to start, stop, or change any medication or course of care. Website content is not a substitute for the advice of a qualified healthcare professional.
Do not use the Website for an emergency or time-sensitive medical need. If you believe you are experiencing a medical emergency, call 911 or your local emergency number.
3. Gia and Artificial Intelligence
The Website may describe, demonstrate, or provide limited access to Gia or other artificial-intelligence-enabled functionality. Unless Hygia expressly states otherwise at the point of use, any public Website demonstration is illustrative and does not constitute a clinical service. Artificial intelligence systems can produce inaccurate, incomplete, outdated, or unexpected outputs. Do not rely on a Website demonstration to make a medical decision. Clinical decisions remain the responsibility of appropriately licensed healthcare professionals.
4. No Provider-Patient Relationship
Use of the Website, including a request for information or interaction with a public demonstration, does not create a physician-patient, clinician-patient, therapist-patient, fiduciary, or other healthcare provider relationship with Hygia.
5. Contact Forms and Health Information
The Website may allow you to request a demonstration, request a conversation, apply for a position, or otherwise contact Hygia. Do not submit medical records, diagnosis information, treatment information, insurance identifiers, or other protected or sensitive health information through a general Website contact form unless Hygia expressly directs you to a secure channel designed for that purpose. Submission of information through a general Website form does not, by itself, establish a relationship covered by HIPAA.
6. Eligibility
The Website is intended for persons who may lawfully use it under applicable law. The Website is not directed to children under the age of thirteen (13). By using the Website, you represent that you have the legal capacity to enter into a binding agreement under applicable law. Product-specific services may impose different eligibility requirements.
7. Intellectual Property
The Website and its text, graphics, logos, designs, images, videos, software, interfaces, trademarks, service marks, trade dress, and other content are owned by or licensed to Hygia and are protected by applicable intellectual-property laws. Subject to these Terms, Hygia grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for lawful personal or internal business evaluation purposes. No other rights are granted.
8. Feedback
If you submit ideas, suggestions, or other feedback regarding the Website or Hygia’s products or services ("Feedback"), you grant Hygia a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that Feedback for any purpose, commercial or otherwise, without any obligation to compensate or attribute you. You represent that any Feedback you submit does not violate the rights of any third party.
9. Acceptable Use
You may not use the Website to:
a. violate any applicable law or the rights of any third party;
b. introduce malicious code;
c. interfere with the operation or security of the Website;
d. attempt to gain unauthorized access to the Website or related systems;
e. scrape, harvest, or extract data from the Website at scale, except as permitted by applicable law or pursuant to Hygia’s prior written authorization;
f. impersonate another person;
g. submit unlawful, misleading, or harmful material; or
h. use Website content or functionality to develop, train, benchmark, or improve a competing product or model, except with Hygia’s prior written permission.
10. Third-Party Services and Links
The Website may contain links to, integrations with, or content supplied by third parties. Hygia does not control, and is not responsible for, third-party websites, services, privacy practices, security, availability, or content. A link does not imply Hygia’s endorsement of the linked third party.
11. Privacy and Cookies
Hygia’s Privacy Policy and Cookie Policy describe how information associated with the Website is collected and processed, and Hygia’s Accessibility Statement describes Hygia’s approach to Website accessibility. Where required by applicable law, non-essential tracking technologies are subject to appropriate consent or opt-out controls.
11A. Hygia Technologies Text-Messaging Program
If you affirmatively opt in, the Hygia Technologies text-messaging program may send recurring informational, account, service, and care-support messages to the mobile number you provide. Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchase.
Text STOP to opt out. After you send STOP, you may receive one final message confirming your opt-out. Text HELP for help or email support@hygiatech.ai. You represent that you are the subscriber or customary user of the number provided and will notify Hygia if that number changes.
Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed. The Privacy Policy explains how Hygia handles information associated with the program.
12. Security
Hygia employs administrative, technical, and organizational measures designed to protect its systems and information. No Internet transmission, website, or security measure is completely secure. You are responsible for exercising reasonable precautions when communicating online.
13. Website Availability and Changes
Hygia may modify, suspend, restrict, or discontinue all or any part of the Website at any time. Website descriptions of products, capabilities, integrations, certifications, roadmaps, or services may change as Hygia develops its offerings. Illustrations and workflow examples do not constitute a representation that a given feature is available to every customer or user.
14. No Offer of Securities; Forward-Looking Statements
Certain portions of the Website may reference Hygia’s business plans, market opportunity, financing activity, or partnership programs, and may include forward-looking statements regarding anticipated products, capabilities, or results. Forward-looking statements are subject to risks and uncertainties, and actual results may differ materially from those expressed or implied. Hygia undertakes no obligation to update any forward-looking statement, except as required by applicable law. Nothing on the Website constitutes an offer to sell, or a solicitation of an offer to buy, any security, and no Website content should be relied upon in connection with any investment decision. Any offer or sale of securities by Hygia, if made, will be made only pursuant to definitive transaction documents and in compliance with applicable securities laws, including applicable exemptions from registration.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." HYGIA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AND UNINTERRUPTED AVAILABILITY. HYGIA DOES NOT WARRANT THAT WEBSITE CONTENT IS CURRENT, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR CLINICAL, BUSINESS, REGULATORY, OR INVESTMENT DECISION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYGIA AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE WEBSITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYGIA’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hygia and its affiliates, directors, officers, employees, and agents from and against any claims, losses, liabilities, and reasonable costs arising from: (a) your unlawful use of the Website; (b) your material violation of these Terms; or (c) content you submit in violation of another person’s rights.
18. Copyright Complaints
Hygia responds to notices of alleged copyright infringement in a manner consistent with the Digital Millennium Copyright Act, 17 U.S.C. § 512, and has designated an agent to receive such notices, as identified in Section 23 below. A person who believes that material on the Website infringes such person’s copyright should send a written notice to legal@hygiatech.ai identifying: the copyrighted work; the allegedly infringing material and its location on the Website; the complainant’s contact information; a statement of good-faith belief that the use is unauthorized; and a statement, made under penalty of perjury, that the foregoing information is accurate and that the complainant is authorized to act on behalf of the copyright owner. Hygia may request such additional information as is reasonably necessary to evaluate the notice.
19. Force Majeure
Hygia will not be liable for any failure or delay in performance under these Terms resulting from causes beyond Hygia’s reasonable control, including acts of God, natural disaster, pandemic, war, terrorism, civil unrest, labor dispute, governmental action, or failure of the internet, telecommunications, or a third-party hosting or infrastructure provider.
20. Governing Law and Forum
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Unless a separate written agreement with Hygia provides otherwise, any dispute arising solely from use of this public Website will be brought in a state or federal court of competent jurisdiction located in Delaware, and you consent to the personal jurisdiction and venue of such courts. These Website Terms do not contain a mandatory consumer arbitration provision or a class-action waiver.
21. Changes to These Terms
Hygia may update these Terms from time to time. The Effective Date set forth above identifies the version of these Terms then in effect. Material changes will be communicated in a manner appropriate to the nature of the change and applicable law. Continued use of the Website following the effective date of revised Terms constitutes acceptance of such Terms to the extent permitted by applicable law.
22. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision does not constitute a waiver of that provision. You may not assign your rights under these Terms without Hygia’s prior written consent. Hygia may assign these Terms in connection with a merger, reorganization, sale of assets, or similar transaction. These Terms, together with the Privacy Policy, Cookie Policy, and any additional terms referenced herein, constitute the entire agreement between you and Hygia regarding use of the Website and supersede all prior or contemporaneous understandings regarding the Website. These Terms are drafted in English; any translation is provided for convenience only, and the English-language version controls in the event of any conflict.
